As Corporate Governance and Compliance Counsel (d/f/m) you will play a critical role in developing, implementing, and overseeing the company's corporate governance framework and compliance programs. This position requires a strong understanding of corporate law, regulatory requirements, and best practices in governance and ethics. The successful candidate will be a proactive, detail-oriented, and strategic thinker with excellent communication and interpersonal skills.
The position will be a Maternity Cover (fixed-term contract 1,5 years) .
This is a hybrid role based in Berlin, Charlottenburg, offering flexibility to work both remotely and in-office.
Your Key Responsibilities
- Develop, implement, and maintain corporate governance policies, procedures, and guidelines (e.g., Code of Conduct, related party transactions, director independence).
- Design, implement, and continuously improve the company's global compliance programs, including policies, procedures, training, and monitoring mechanisms.
- Identify and assess compliance risks across various business operations and jurisdictions.
- Develop and deliver compliance training programs for employees at all levels.
- Monitor changes in relevant laws, regulations, and industry standards (e.g., anti-corruption, data privacy, sanctions, anti-money laundering, antitrust).
- Advise on the legal implications of new business initiatives and regulatory developments.
- Ensure the company's operations comply with all applicable local, national, and international laws and regulations.
- Conduct or oversee internal investigations into potential violations of company policies, laws, or regulations.
- Manage remediation efforts arising from compliance breaches.
- Develop and implement programs for due diligence and ongoing monitoring of third-party relationships to mitigate compliance risks.
- Promote a strong ethical culture throughout the organization.
- Administer and manage the company's ethics hotline and whistleblower program.
Our Key Role Requirements
- Fully qualified lawyer, Juris Doctor (J.D.) degree or equivalent from an accredited law school with excellent academics.
- 8+ years of experience practicing law, with a significant focus on corporate governance and compliance, preferably within a corporate legal department or a reputable law firm.
- In-depth knowledge of corporate law and regulatory frameworks applicable to tech companies.
- Proven experience in developing, implementing, and managing compliance programs.
- Strong understanding of best practices in ethics and corporate responsibility.
- Excellent legal research, analytical, and problem-solving skills.
- Superior written and verbal communication skills, with the ability to distill complex legal issues into clear, concise, and actionable advice.
- Ability to work independently and collaboratively in a fast-paced environment.
- High level of integrity, professionalism, and discretion.
Preferred Qualifications
- Experience with international compliance issues and multi-jurisdictional regulations.
- Certification in compliance (e.g., CCEP).
- Experience with GRC (Governance, Risk, and Compliance) software platforms.
