Responsibilities

• Work as part of a Global Legal team providing legal and regulatory advice to specialist investment teams, mainly fund management within Real Estate, Infrastructure, CRE debt, and Infrastructure debt.
• Support the corporate finance functions in carrying out all legal, regulatory and contractual aspects of fund structuring and investment activities, while understanding the various structures, ensuring harmonization of practices across the different business activities and countries, evaluating and assessing inputs/impacts of decisions and identifying proactive solutions to mitigate legal, regulatory and reputational risk globally across the business.
• Collaborate with other legal team colleagues to assist the Fund Management and corporate finance teams based in Paris and London.
• Understand the various types of funds across jurisdictions.
• Participate in drafting, negotiating and advising on legal and contractual documentation related to creation of new investment products (e.g., separate account mandates or collective investment vehicles such as AIFs (RAIFs, FPS, OPCI, etc.)) launched or to be launched by the Fund Management.
• Draft and negotiate all agreements in respect of the businesses (investment management, delegation, advisory, financing (including follow-up of financing documentation in a restructuring context), servicing agreements, prospectus, etc.).
• Assist, in cooperation with external lawyers, in choosing investment structures (advising on appropriate fund structure in France and abroad, notably in France, Luxembourg, Ireland or the UK).
• Understand distribution and marketing rules of funds launched by the teams in jurisdictions where products may be distributed; review marketing material (marketing presentations, teaser documentation, RFP/RFI, due diligence questionnaires, press releases, etc.).
• Participate in managing relationships with regulators and authorities (e.g., AMF, CSSF).
• Contribute to a wide range of ad-hoc projects, including complex transactions and cross-functional initiatives.
• Follow-up and advise on legal and regulatory developments impacting AXA IM Alts - Real Assets across the various businesses.
• Select, manage and monitor external lawyers/outside counsel.
• Provide support on litigation related to the above matters, if needed.

Education/Qualifications

• French or Lux Qualified lawyer
• 3 to 5 years PQE

Experience/Skills

• First experience through internships/alternance or first experience in the appropriate practice of an international law firm (incl. fund structuring, finance, securitization real estate or project finance)
• Fluent English
• Team player and collaborative
