Overview

The Corporate Counsel provides hands-on legal guidance, contracting support, risk management, and coordinates with external legal advisors on corporate governance, financing, regulatory, and related matters.

Role: Corporate Counsel
Department: Legal and Compliance
Location: Salt Lake City, UT (in-house)
Key Responsibilities
- Review, draft, and negotiate a broad range of commercial agreements (customer, supplier, distribution, research collaboration, and service agreements).
- Manage and improve the contracting process across business units to ensure consistency, risk control, and timely execution.
- Draft and review non-disclosure agreements (NDAs) and support standardization of templates and playbooks.
- Provide proactive and practical legal advice to internal teams, balancing business objectives and legal risks.
- Support compliance in areas such as export control (ITAR/EAR), data protection, medical device regulation, and employment law.
- Assist in policy development and internal compliance training (e.g., code of conduct, anti-bribery, contracting).
- Coordinate with external counsel to ensure cost-effective and aligned representation.
- Support board and corporate governance activities, including preparation and review of board materials, resolutions, and filings.
- Maintain organized documentation and records of legal correspondence, contracts, and corporate filings.
- Partner with the CFO / CEO on corporate and financing transactions, equity documentation, and investor-related agreements.
- Support implementation of compliance frameworks tied to CFIUS or export-controlled activities.
- Provide legal input on employee equity incentive plans and related documentation (SARs, options, warrants).
Qualifications
- Education: Juris Doctor (JD) from an accredited U.S. law school.
- Licensing: Active Utah bar membership or eligibility for in-house counsel registration in Utah.
- Experience: 6-8 years of legal practice in a law firm or corporate setting, focusing on commercial transactions, corporate law, or compliance.
- Skills and Attributes:
- Demonstrated ability to independently manage multiple complex matters in a fast-paced, cross-functional environment.
- Strong commercial judgment, negotiation skills, and attention to detail.
- Experience supporting senior management and interfacing with external counsel.
- Excellent communication and interpersonal skills, capable of influencing across departments.

Preferred Qualifications
- Experience in medical device, biotech, or technology sectors.

- Previous in-house experience at a scaling or venture-backed company.
