Job Description
The Legal Division at SWIB supports the organization's mission by ensuring the highest ethical standards and compliance with applicable laws and regulations. The new Legal Counsel will join a talented team of experienced asset-management attorneys and provide legal services related to agency contracts, state statutes, and agency policies.
Position Overview
The Legal Counsel will be responsible for:
- Negotiating and drafting counterparty documentation, including ISDAs and MCAs, MRAs, MSFTAs, and related documentation.
- Analyzing and assessing the legal, regulatory, and tax implications of proposed terms and conditions in derivatives transactions and counterparty agreements.
- Collaborating with internal stakeholders to ensure compliance with legal and regulatory requirements.
- Advising and providing guidance on legal issues related to derivatives and trading activities.
- Staying updated on relevant legal and regulatory developments impacting derivatives markets and documentation.
- Conducting legal research and preparing memoranda on derivatives-related matters.
- Maintaining relationships with external counterparties, external counsel, and regulatory bodies.
The Ideal Candidate
The ideal candidate will have:
- A J.D. degree and a minimum of 5+ years of experience as in-house counsel or in a law firm practice.
- Experience reviewing and negotiating ISDAs, MCAs, MRAs, MSFTAs, and related documentation.
- Experience collaboratively working with non-legal personnel.
- Additional experience in tax matters related to the above agreements.
- Familiarity with public equities securities laws and regulations.
- Excellent attention to detail and the ability to understand and balance the competing interests of diverse constituencies.
