Overview

We have an opportunity for a mid-level Attorney to join Our Employee Benefits and Executive Compensation practice group and contribute to the firm’s dynamic and long-established practice representing premier local and national employers. This role requires extensive contact with clients, governmental agencies and opposing counsel.

Ranked Tier 1 by Best Lawyers for over a decade, our Employee Benefits practice is broad-based and encompasses plan design, advice & counsel, and compliance work relating to retirement, health and welfare, and nonqualified deferred compensation and incentive pay plans maintained by private and publicly listed employers. We also regularly advise on executive compensation and payroll tax, and healthcare privacy matters.

Responsibilities

  • Draft, design, and negotiate executive employment and compensation arrangements; structuring equity and other incentive programs.
  • Manage compensation and benefits issues in mergers, acquisitions, and other corporate transactions.
  • Counsel on compensation-related disclosure and corporate governance.
  • Maintain extensive contact with clients, governmental agencies and opposing counsel.

Qualifications

  • Juris Doctor. Licensed to practice law and in good standing in the state of employment. During employment, must meet continuing licensure requirements.
  • At least three years of executive compensation and employee benefits experience in a law-firm setting.
  • Familiarity addressing tax issues under Internal Revenue Code sections 409A and 280G (preferred).
  • Familiarity with securities compliance, qualified plan design and operation, ERISA fiduciary and pension investment matters, and cross-border compensation arrangements (highly valued).
  • Demonstrated ability to manage projects independently while collaborating effectively across practice groups.
  • Superior written and oral communication, research, analytical, and problem-solving skills.
  • Ability to balance multiple priorities and meet demanding deadlines.
  • Strong academic credentials.
