A leading Fortune 500 insurance company is seeking a Senior Corporate Counsel to join its legal team. This role involves supporting the company's public company obligations and general corporate legal matters. The ideal candidate has a strong background in corporate law, especially within publicly traded companies or law firms focusing on securities and corporate governance.

Key Responsibilities:

  • Provide legal counsel on securities law compliance, including drafting and reviewing SEC filings such as Forms 10-K, 10-Q, 8-K, and proxy statements.
  • Advise on corporate governance matters, including board and committee processes, charters, and policies.
  • Assist with preparations for annual shareholder meetings and coordinate with internal teams on disclosure obligations.
  • Support compliance with NYSE/Nasdaq listing standards and securities laws.
  • Collaborate with finance, investor relations, and compliance teams to ensure accurate public disclosures.
  • Contribute to corporate transactions like M&A, joint ventures, and capital markets activities.
  • Stay updated on securities laws and governance best practices, providing guidance to teams.

Qualifications:

  • J.D. from an accredited law school and licensed to practice law in at least one U.S. jurisdiction.
  • At least 5 years of experience in corporate law, either in-house at a publicly traded company or at a law firm specializing in securities and governance.
  • Deep understanding of U.S. securities laws, reporting requirements, and corporate governance.
  • Excellent written and verbal communication skills.
  • Strong analytical skills and ability to work independently in a fast-paced environment.
  • Experience in the insurance or financial services industry is a plus but not required.
